These Terms of Service (“Terms”) govern your access to and use of Verify.inc and the services provided by Verify, Inc. (“Verify,” “we,” or “us”). By creating an account, uploading a document, or running a verification, you agree to these Terms. If you do not agree, do not use the service.
Verify lets you upload agreements, identify the people and businesses named in them, and run identity and risk verifications against third-party and public data sources (including sanctions lists, litigation records, and business registries). Verification results are informational only and are intended to support your own due-diligence decisions. They are not legal, financial, or compliance advice.
You must provide accurate information and keep your login credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and authorized to accept these Terms on behalf of yourself or the entity you represent.
You retain all ownership of the documents and information you upload (“Your Content”). You grant Verify a limited, non-exclusive license to process, store, and analyze Your Content solely to provide the service to you. We do not sell Your Content. You represent and warrant that you have the right to upload Your Content and to have the named parties verified, and that doing so does not violate any law or any third party’s intellectual-property, privacy, or contractual rights. How we handle and retain data is described in our Privacy Policy.
Verify is intended for commercial due-diligence purposes — such as evaluating a counterparty before entering a transaction. You agree that you have a permissible purpose for each verification you run.
Verify is not a consumer reporting agency, and verification results are not “consumer reports” under the Fair Credit Reporting Act (FCRA). You may not use the service, in whole or in part, to make decisions about a person’s eligibility for employment, credit, insurance, housing, or any other purpose governed by the FCRA or similar laws. You are solely responsible for using results lawfully.
Verify uses automated systems and third-party artificial intelligence (including services provided by Anthropic) to assist with extracting parties from documents, analyzing contract content, resolving identities, compiling screening results, scoring risk, and monitoring. These outputs are generated in whole or in part by automated means, may be incomplete or contain errors, and are informational only — they are not a substitute for professional or legal advice or for your independent judgment. We do not use Your Content to train third-party AI models.
Verification results are compiled from third-party and public sources that we do not control and cannot guarantee. Results may be incomplete, out of date, or contain errors, and the absence of a finding is not a guarantee that no risk exists. You must independently evaluate results before relying on them. The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including accuracy, completeness, merchantability, or fitness for a particular purpose.
To the maximum extent permitted by law, Verify and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or for any decision you make based on verification results, even if advised of the possibility of such damages. To the maximum extent permitted by law, Verify’s total aggregate liability for any and all claims arising out of or relating to the service is limited to the greater of (a) the amounts you paid us for the verifications giving rise to the claim in the three (3) months preceding the event, or (b) one hundred U.S. dollars (US$100). Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.
You agree to indemnify, defend, and hold Verify harmless from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of Your Content, your use of verification results, or your violation of these Terms or applicable law.
Verify respects intellectual-property rights and expects users to do the same. You are solely responsible for ensuring you have the rights to upload and process any document you submit. If you believe content on Verify infringes your copyright, you may submit a notice under our Copyright & DMCA Policy, which also describes our counter-notice process. Verify removes infringing material in appropriate circumstances and terminates the accounts of repeat infringers.
Please read this section carefully — it affects how disputes are resolved. Except for claims that may be brought in small-claims court and requests for injunctive relief, any dispute, claim, or controversy arising out of or relating to these Terms or the service will be resolved by binding individual arbitration administered by [Founder/legal decision: arbitration administrator, e.g., AAA or JAMS, and applicable rules] rather than in court. The arbitration will take place in [Founder/legal decision: arbitration seat/venue], and judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive or equitable relief to protect its intellectual property or confidential information in a court of competent jurisdiction.
To the maximum extent permitted by law, disputes will be resolved only on an individual basis. You and Verify each waive any right to bring or participate in a class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and brought in court.
These Terms are governed by the laws of [Founder/legal decision: governing law, e.g., the State of Delaware, USA], without regard to its conflict-of-laws rules. Subject to the arbitration provision above, the exclusive venue for any permitted court proceeding will be the state and federal courts located in [Founder/legal decision: venue, e.g., Delaware], and you consent to personal jurisdiction there.
You may stop using the service at any time. We may suspend or terminate access for violation of these Terms or to protect the service. Sections that by their nature should survive termination (including billing, ownership, AI/data disclaimers, copyright, limitation of liability, indemnification, dispute resolution, and governing law) will survive.
We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above, and continued use after a change constitutes acceptance.
